If you think AOL actually intends to buy Yahoo, you are wrong. That story hit the press this week but it’s a ruse to motivate Google exactly as I explained a few days ago. AOL has neither the money nor the motivation to buy Yahoo, which is analogous to a bus company buying a poorly-managed airline. AOL just wants to make Google jealous.
Here’s what I think happened. This is pure speculation on my part, of course, but I know most of the players and am even correct from time to time. I think one or more private equity firms brought the deal to AOL: they’ll put up the capital if AOL’s Tim Armstrong will manage the combined company, putting Carol Bartz out of her misery at Yahoo. This is not a bad idea, per se, except it conflicts with AOL’s current strategy in that Google could probably get government approval to buy AOL because their businesses are so different, but that difference largely goes away if AOL buys search-heavy Yahoo.
If AOL abandons its Google-centric strategy (selling itself to Google), then buying Yahoo is fine. But they can’t have it both ways.
Why, then, is AOL apparently considering a play for Yahoo? I’m not sure they are, but if the talk continues my guess is it is to force Google’s hand.
This sort of thing happens all the time. Here’s an example of what I mean. A privately held U. S. company is in talks to be acquired, wants to be acquired, but the negotiation is taking too long or the numbers aren’t high enough. What’s to be done? They can give-in and accept the lower offer. They can walk away from the deal hoping the acquirer will come back with a higher offer to get talks going again. Or they can take what’s behind Door Number Three, which is registering for an IPO on the Hong Kong Stock Exchange.
Door Number Three is the smart move because, if successfully completed, that IPO will instantly double the eventual cost of acquiring that company at a later date. Acquirers that might have waited or deliberately slowed negotiations suddenly have to decide what the company is really worth to them and pay it, quickly.
I think that’s what’s happening here with AOL and Yahoo. There are some synergies, sure, but the potential deal has some real complications, too. Google doesn’t want Yahoo. Google might want AOL. AOL is certainly a lot cheaper for Google than buying Yahoo on almost any measure. So AOL is rushing the net, hoping to force the play on Google.
It should be interesting.
“…which is analogous to a bus company buying a poorly-managed airline. ”
I beg to differ: It is like a poorly-managed bus company buying a poorly-managed airline and under the premise that together they could end up reinventing transportation together.
Yahoo is a great asset selling off its pieces because it can’t figure out how to grow and lead (or even efficiently follow) in their industry. It is a incredible pity. Their deal with Bing has basically given away the company. What is AOL anyway other than a portal for senior citizens?
Steve,
You are right on……..
‘What is AOL anyway other than a portal for senior citizens?’
and as far as Yahoo is concerned…..
“Their deal with Bing has basically given away the company.”
Google lives in another world. Why worry about AOL, Yahoo, and yes, even MS. They are all in yesteryear not where Google is going.
+10.
Why in gods name would Google be interested in AOL. No technology, talent or scale. Just a heaping pile of &€&€!
Why AOL? Well it’s one of the few sites with reasonable traffic that google could purchase without much fuss. Perhaps it’s a demographics thing? AOL seems very popular with 50+, modestly educated women.
Why?
AOL is very cheap.
AOL has a few things that Google could leverage (eg AIM).
They probably could sell off the parts they don’t want and make enough money to cover the cost of buying AOL.
Oh, wait, I forgot I am a fool because Cringely covered IGZAKLEE why in a previous entry. Doi!
Great picture! 😉
I second Gary’s question. Talent? Technology? Why in the world would G want AOL? From what I can see, G has no interest in running a media company. Bob, why do you think this is desirable to G?
If Google bought AOL, they’d probably gut the company. If you work for AOL, you probably do not want Google as your next owner.
If AOL bought Yahoo it would be bad for Yahoo. Yahoo has many attributes and I think the new management team may be able to find a way to bring Yahoo back. Being managed by AOL would kill it. If you work for Yahoo, you probably don’t want AOL’s help.
I had an AOL account. I know they used to sell their subscriber lists to advertisers. In the early days they facilitated spam. I went through a few email providers until I settled on Yahoo. If AOL bought Yahoo, I’d replace the services I get from Yahoo in a New York minute.
Bob, you mentioned AOL’s business. What is AOL’s business? I Haven’t received one of their coasters in the mail for over a decade.

Cringely believes that Google will have to buy AOL for content because the days of Google getting away without paying for content is nearing its end.
There’s one problem with that theory: Google’s big advantage is that it is a neutral search provider. You search for something, you feel comfortable that Google’s result will be good because Google doesn’t have any dog in the contest. It simply doesn’t matter to Google that they display one result over another.
When Google first came on the search scene, most of the other search engines were munging their results to put those who advertise up first. They even started interspersing their search results with ads — sometimes making it impossible to know what was a search result and what was an ad.
Many people switched from the big Yahoo search provider to little Google because Yahoo’s search results were ad filled, and Yahoo kept trying to push their own paid content over what you really wanted to see. Google presented an empty blank screen while Yahoo’s search screen was packed with Hollywood articles and sports news. The same thing happened to other search engine providers like Alta Vista.
Yes, Google did provide better results, but the main thing that drove people to Google was the purity of the search results and the fact that Google never decided to enter the portal business. You could trust Google’s results.
Yahoo and Altavista both got drunk with their own power. They felt that they no longer had to be overly concerned with what their customers wanted, and instead ran after what looked like easy money. Become web portals. Make sure people stay on your site. Rejigger search results to post your content first. Make your page loud and noisy.
Google isn’t invulnerable. Their power lies in their search results and the fact that most people feel that those results are an honest reflection of what they were looking for. Google is already having some difficulties. Their pagerank algorithm isn’t the secret weapon it once was. Other companies can copy it and give results just as good. The only thing stopping them is that being just as good isn’t enough to get people to abandon Google.
But that could change. What if I can’t trust Google’s search results any more? What if I believe Google is pushing their own content rather than being that neutral provider? Remember that Yahoo, Altavista, AOL, and many others were once 500 pound gorillas.
It took GM building 40 years of building substandard cars and making bad business decisions to fail. That’s because people had physical cars and dealerships. All it takes for Google to fail is people simply typing in another URL into their browser when they want a search result. The only thing holding Google up is its apparent honesty in its business dealings.
The “Don’t be evil” corporate motto does have a certain meaning. Google realizes that if people no longer believe that Google is an honest broker, they’ll take their business elsewhere.
“…Google is an honest broker…” Wow! That’s an idea even Bob missed. Maybe Google will get in to the stock or real estate brokerage business. Earning trust is the most important thing, so those markets are wide open for a takeover!
I just stumbled in here, but I’ll put my 2 cents in for the 18-24 age group and say that Google is already starting to lose some “honesty” in my book. I think that if they acquired AIM I’d break down and find a new (smaller, more buggy) client. I’m pretty sick of Google acquiring all of my personal information / means of communication; it’s starting to get eerie. My phone has to be hooked into it (my 2.2 motoX gives errors that make me miss messages unless I forward everything through gmail), my youtube and blog accounts have been swallowed… lately I’m hearing that they store your info for some absurd amount of time… Google basically owns my university’s online component. There are a lot of different aspects to my life that I wanted to keep separate, and Google is not allowing it. It would be no big problem at this point for any of my professors to find my personal journals online, because they’re all been hooked into this PORTAL SITE. (Also google instant is really annoying.)
I’m not in the 18-24 YO demographic, far from it, but I think that Phylicia is absolutely correct.
Google is Big Brother. I find it absolutely amazing that everyone is blithly feeding their information in numerous forms to Google.
BTW, I don’t think aliens are invading and I don’t wear an aluminum foil hat.
Maybe wanting Google to buy them explains why they’re closing Bloglines. Google won’t want to acquire a competing rss aggregator.
radical
I like door number 3, but I think there’s a possibility you’re not considering.
Assume that AOL still wants to be bought out by Google. And, assume that AOL is going to play this the way Sun (of old) would.
AOL rushes head on into a merger that makes no sense to anyone.
They buy out Yahoo, only to totally liquidate it a year later.
A move like that would earn favor with Google, as AOL would have just taken out and liquidated their most serious competitor.
Mergers aren’t always about building synergies, Bob.
Sometimes they’re about clearing the air.
The news makes me smile =). lol. But a merger between AOL and Yahoo will be good for AOL itself. If AOL is on the brink of bankruptcy a move like that will be very much helpful to save it. Do not underestimate the decision of AOL if they will pursue with the move, surely, the move will studied and will surely benefit both parties.

I am not sure AOL doesn’t have the resources to acquire Yahoo. Regardless, it looks grim for both of these former rock star companies.

I actually really like my own husband sooo much plus he is very awesome for me. I appreciate every little thing related to him. The only problem though, is he is friends with way too many women and I hate knowing that he’s talking to lots of girls other than me. I hate being jealous. I’m trying to just ignore the jealousy but I can’t. Please help me out. Thanks.

Jennifer Lopez is happy to go back to her local New York which means she can care for her little kids in a “normal” area out of town from the glitz of Hollywood. The occasional actress grew ” up ” in the Big Apple, despite the fact that now resides in Los Angeles in order to concentrate on their very own showbiz careers.
